MeltTools Terms and Conditions of Sale

“MeltTools” refers to MeltTools LLC, a Michigan limited liability company having its primary place of business at 7849 S. Sprinkle Road, Portage, MI 49002, USA. “The Buyer” refers to any legal entity purchasing Goods or Services (Products) from MeltTools LLC. By placing an order with MeltTools, the Buyer fully accepts these Terms and Conditions of Sale.

All prices are issued in USD. Prices are Ex-Works and exclude shipping, taxes, customs fees and import duties.

Shipments will originate from MeltTools’ premises at 7849 S. Sprinkle Road, Portage, MI 49002, USA. From time of shipment, the Goods are at the risk of the Buyer, who shall be responsible for payments of freight and premium for transit insurance. Shipping dates provided by MeltTools are made in good faith; however, any reasonable delay in delivering the Products shall not entitle the Buyer to damages nor to cancellation of the order.

a) Research, documents and any kind of information, including Product manuals, videos and commercial offers, provided to the Buyer by MeltTools, other than information made publicly available by MeltTools, shall remain the property of MeltTools and shall be deemed confidential. Confidential information shall not be copied or replicated. Confidential information shall not be forwarded to third parties or used by the Buyer for purposes other than to facilitate application of the Products supplied by MeltTools.
b) The Buyer does not acquire any intellectual property or other proprietary rights under this agreement, including without limitation any right, title or interest in and to patents, copyrights, trade-marks, industrial designs, confidential information, or trade secrets, whether registered or unregistered, relating to MeltTools’ Products.
c) The Buyer shall not, and shall not permit any third party to, copy, reproduce, analyze, disassemble or reverse engineer any MeltTools’ Product.
d) The Buyer agrees not to engage in, or assist another party in engaging in, design or manufacture related to MeltTools’s Products that competes with the business interests of MeltTools during a period of 3 years from the date of sale.

MeltTools warrants its Products to be free from defect in workmanship and materials for the period of 12 months from the date of delivery.

Cancellations or returns will be made at the discretion of MeltTools. All returns must be current MeltTools Products, in new or like-new condition; special-order or customized Products may not be returned. A charge of up to 15% may be made upon all cancellations or returns for credit.

The Buyer accepts full responsibility for all direct and indirect consequences arising as a result of its purchase, installation and use of MeltTools’ Products or services. MeltTools is not responsible for damages, including but not limited to loss or damage to property, manufacturing capacity, data, earnings, reputation or customer relations, arising in any manner in connection with the purchase, installation or use of MeltTools Goods or Services by the Buyer. Furthermore, MeltTools LLC has no liability to any client or associate or of the Buyer.

Any contract entered into by MeltTools and the Buyer shall be governed by the laws of Michigan, USA.
